Lingua — Terms of Service
Effective date: October 15, 2026
These Terms of Service ("Terms") are a binding agreement between Integra EdTech LLC ("Integra EdTech," "we," "us," or "our") and you, governing your access to and use of the Lingua platform, including our websites, applications, AI features, and related services (collectively, the "Service").
By creating an account, accessing, or using the Service, you agree to these Terms. If you do not agree, do not use the Service. If you are accepting these Terms on behalf of a school, district, or other organization, you represent that you have authority to bind that organization, and "you" refers to that organization.
Students. Lingua is only for people 13 and older (see Section 2.2). Students who create their own account confirm at sign-up that they are 13 or older and agree to these Terms. Where the Service is used by students, the student's School (or teacher acting with School authorization) also authorizes that use, and students' use of the Service is governed by the School's authorization and policies. Only the provisions reasonably applicable to a student's use of the Service (such as the license to process submitted work and the Acceptable Use rules) apply to students, and nothing in these Terms waives rights a student or parent/guardian cannot waive under applicable law.
1. The Service
Lingua is an AI-powered learning management platform for language education. The Service allows teachers to create, assign, and grade language-learning coursework — including writing, reading, listening, oral/speaking, conversation, and quiz assignments — with AI-assisted content generation, AI-assisted feedback and grading against teacher-defined rubrics, optional assessment-integrity features (including secure testing mode), a content-sharing marketplace ("LinguaVerse"), and optional integrations with third-party learning systems (such as Canvas).
2. Eligibility; Account Types
2.1 Teachers and adults. You must be at least 18 years old to create a teacher account. You are responsible for the accuracy of the information you provide and for maintaining the confidentiality of your login credentials. You are responsible for all activity under your account.
2.2 Students; 13 and older only. Lingua is only for users 13 years of age or older. We do not allow accounts for children under 13 at all, for any role and under any arrangement. Student use of the Service is available only in connection with a class administered by a teacher or educational institution (a "School"), and only as authorized by that School. Students may not create standalone accounts outside of a School-administered class.
- Students who sign up themselves must confirm that they are 13 or older when they create their account.
- Students whose accounts are provided by their School through Canvas (or another School-installed integration) are covered by their School's agreement with us. Those students must also be 13 or older, and the School is responsible for making sure only students 13 and older are given access.
If we learn that an account belongs to a child under 13, we will delete it and its data.
2.3 Account security. Notify us promptly at privacy@linguaclassroom.com (see Section 20) if you believe your account has been compromised. We are not liable for losses caused by unauthorized use of your account resulting from your failure to safeguard credentials.
3. Schools, Teachers, and Authorization
3.1 Teacher responsibility. If you are a teacher who invites students to the Service (for example, by sharing a class join code), you represent and warrant that:
- you have permission under your School's policies to use Lingua with those students, including any approvals your School or district requires for third-party educational technology;
- you have obtained any other authorizations required by applicable law to use the Service with your students;
- you will follow your School's and district's technology and artificial-intelligence (AI) policies when using the Service; and
- you will stop using the Service's student features (inviting students, assigning them work, and collecting their submissions) if your School or district asks you to.
We may ask you to confirm this permission in the Service before you invite students.
3.2 Data Privacy Agreements. If Integra EdTech and a School (or district) have signed a separate data privacy agreement, services agreement, or similar contract (a "DPA"), the DPA controls to the extent it conflicts with these Terms with respect to that School's student data.
3.3 School authority over student data. As between Integra EdTech and a School, the School owns and controls its student education records. Where the Service is used by a School subject to the U.S. Family Educational Rights and Privacy Act ("FERPA"), Integra EdTech operates as a "school official" with a legitimate educational interest, under the School's direct control with respect to education records, and uses education records only to provide the Service.
4. Children's Privacy and Consent
4.1 No users under 13. The Service is not directed to children under 13, and children under 13 may not use it under any arrangement, including with School or parental consent. We do not knowingly collect personal information from children under 13. Teachers and Schools must not invite or provision students under 13. If we learn that we have collected personal information from a child under 13, we will delete it. If you believe a child under 13 is using the Service, contact privacy@linguaclassroom.com.
4.2 Scope of student data use. We collect and use student personal information only to provide and maintain the Service for the School's educational purposes. We do not use student personal information for behavioral or targeted advertising, we do not build advertising profiles on students, and we do not sell student personal information. We do not disclose student personal information except to the service providers (subprocessors) that help us operate the Service, at the direction of the School, as required by law, as necessary to protect the rights, safety, or security of users or the Service, or in a business transfer subject to the same commitments (as described in the Privacy Policy). Any use of data to improve the Service relies on aggregated or de-identified data, not identifiable student records. Our collection, use, retention, and deletion of personal information are described in our Privacy Policy, which is incorporated into these Terms by reference.
4.3 Security and deletion. We maintain reasonable administrative, technical, and physical safeguards designed to protect personal information, appropriate to the sensitivity of the data. We will notify affected Schools without unreasonable delay upon discovering a breach of security affecting their students' personal information, consistent with applicable law. We will delete a student's personal information at the request of the student's School (or, where required by law, a parent/guardian acting through the School), except where retention is required by law.
5. Student Work, Recordings, and Assessment Integrity
5.1 Student submissions. The Service collects student coursework as part of its core function — for example written responses, quiz answers, uploaded images of written work, and audio recordings of student speech created during oral, conversation, and voice-based assignments. These recordings and submissions are used to provide grading, transcription, feedback, and teacher review, and are treated as student data under Sections 3–4 and the Privacy Policy.
5.2 Secure testing and integrity features. Teachers may enable assessment-integrity features for particular assignments — including secure testing mode, which locks aspects of the browser during an assessment and may record integrity signals such as tab switches, attempts to leave the page, and detected in-browser AI-assistance tools. When secure testing is enabled, the student is shown that the assignment is being monitored for integrity. Integrity signals are made available only to the assigning teacher (and School officials), are used solely for assessment-integrity review, and are subject to the retention limits described in the Privacy Policy. Schools and teachers are responsible for providing any notice to students and parents/guardians that applicable law or School policy requires before using these features.
5.3 No high-stakes automated decisions. Integrity features produce flags for human review by the teacher; the Service does not automatically discipline, score down, or accuse a student based on integrity signals.
6. AI Features
6.1 AI-generated content and grading. The Service uses artificial-intelligence models to generate assignment content (passages, audio, questions, images, conversation partners) and to assist in transcription, feedback, and grading. AI output can be incorrect, incomplete, or biased. AI-assisted grades and feedback are provided as a tool for the teacher; teachers retain full authority and responsibility to review, adjust, and override AI-assisted results. The Service is not a substitute for professional educator judgment.
6.2 AI processing of user content. Content you or your students submit (including text and audio) is processed by third-party AI providers acting as our service providers to deliver the features described above, under contractual terms that restrict their use of the data to providing the service. We do not use content you or your students submit to train AI models, and we do not permit our AI providers to do so. Details, including our current subprocessors, are in the Privacy Policy.
7. Your Content; Licenses
7.1 Ownership. You retain ownership of the content you create or upload to the Service — including teacher-created assignments, rubrics, prompts, and materials ("Teacher Content") and student submissions ("Student Content"). Student Content is controlled by the student's School as described in Section 3.3.
7.2 License to us. You grant Integra EdTech a worldwide, non-exclusive, royalty-free license to host, store, reproduce, process (including with the AI providers described in Section 6), display, and transmit your content solely as necessary to provide, maintain, and secure the Service and as otherwise permitted by the Privacy Policy or a controlling DPA. Improvement of the Service relies on aggregated or de-identified data as described in Section 4.2.
7.3 LinguaVerse sharing. If you choose to publish Teacher Content to LinguaVerse, you additionally grant Integra EdTech and other teachers using the Service a worldwide, non-exclusive, royalty-free license to access, download, copy, adapt, and use that content within the Service for educational purposes. Do not publish content to LinguaVerse that you do not have the right to share. You may remove your LinguaVerse listings at any time; copies already downloaded by other teachers may persist in their accounts. Student Content is never published to LinguaVerse.
7.4 Your responsibilities for content. You represent that your content does not infringe others' rights and complies with these Terms. We may remove content that violates these Terms or applicable law.
7.5 Feedback. If you send us suggestions or feedback, we may use them without obligation to you.
8. Acceptable Use
You agree not to, and not to permit others to:
- use the Service in violation of applicable law, School policy, or these Terms;
- access or attempt to access another user's account or data without authorization;
- circumvent, disable, or interfere with security or integrity features of the Service (including secure testing), rate limits, or access controls;
- probe, scan, or test the vulnerability of the Service without our prior written consent;
- upload malicious code or content that is unlawful, harassing, hateful, or sexually explicit, or that exploits or endangers minors;
- scrape, harvest, or bulk-extract data from the Service, or use the Service or its outputs to train competing AI models;
- reverse engineer, decompile, or create derivative works of the Service except where such restriction is prohibited by law;
- misrepresent your identity or affiliation, or use the Service to impersonate another person;
- resell, sublicense, or provide the Service to third parties except as expressly permitted (e.g., a teacher providing access to their students).
Students must also comply with their School's academic-integrity policies. Attempting to defeat assessment-integrity features may be reported to the assigning teacher.
9. Third-Party Services
The Service interoperates with third-party services you may choose to connect — for example Canvas (LMS grade sync) and Google sign-in. Your use of a third-party service is governed by that third party's terms and privacy policy, and you are responsible for your authorization to connect it (including, for Canvas, your School's policies on connecting third-party tools). We are not responsible for third-party services, and an integration may stop functioning if the third party changes its service.
10. Plans, the Institution Trial, and Fees
10.1 Plans. Lingua has two plans:
- Free: for teachers on their own. Teachers can create, print, and export coursework. The Free plan does not include student accounts.
- Institution: for Schools. Includes student accounts and student features (classes, assignments, submissions, AI feedback, and integrations). Institution access is provided under an arrangement with the School (for example, through a School access code or a School-installed integration such as Canvas).
10.2 The 14-day Institution trial. Teachers at eligible Schools may receive a free 14-day Institution trial that lets them use the Service with real students. Eligibility depends on the School and on School, district, or state policies (for example, some districts and states require district approval before students can use new tools, and teachers there stay on Free). Each teacher gets one trial. A trial always ends on its end date, which is shown in the Service.
10.3 When a trial ends. If the School has not upgraded to Institution by the end of the trial:
- the teacher's students lose access to the teacher's classes right away;
- the teacher's coursework is kept (courses, modules, assignments, and other Teacher Content), and the teacher continues on the Free plan; and
- student data from the trial is deleted 14 days after the trial ends (student submissions, recordings, grades, and enrollments in the teacher's classes, plus student accounts that were used only in those classes), unless the School upgrades to Institution before then. If the School upgrades within those 14 days, students regain access with their data intact.
10.4 Fees. The Free plan and the trial are provided free of charge. Institution pricing is agreed with each School. If we introduce new paid plans or fees, we will provide reasonable advance notice, and continued use of paid features after the effective date of pricing will constitute agreement to the applicable fees. We will not retroactively charge for use that occurred while a feature was free.
11. Intellectual Property
The Service — including its software, design, text, graphics, logos, and all related intellectual property — is owned by Integra EdTech or its licensors and is protected by law. Except for the limited rights expressly granted in these Terms, no rights in the Service are granted to you. "Lingua," "LinguaVerse," and associated logos are trademarks of Integra EdTech LLC.
12. Copyright Complaints (DMCA)
If you believe content on the Service infringes your copyright, send a notice to legal@linguaclassroom.com (see Section 20) including: (a) identification of the copyrighted work; (b) identification and location of the allegedly infringing material; (c) your contact information; (d) a statement of good-faith belief that the use is unauthorized; (e) a statement, under penalty of perjury, that the notice is accurate and you are authorized to act for the owner; and (f) your physical or electronic signature. We will respond to valid notices, including removing content and, for repeat infringers, terminating accounts where appropriate.
If your content was removed and you believe the removal was a mistake or misidentification, you may send a counter-notification to the same address including: (a) identification of the removed material and its prior location; (b) a statement under penalty of perjury of your good-faith belief that the removal was a mistake or misidentification; (c) your name, address, and telephone number; (d) consent to the jurisdiction of the federal district court for your address (or, if outside the U.S., any judicial district in which we may be found) and to accept service of process from the notifying party; and (e) your physical or electronic signature. We may restore the material in accordance with the DMCA unless the original claimant files a court action.
13. Suspension and Termination
13.1 By you. Teachers may stop using the Service and may request account deletion at any time (see the Privacy Policy for how data deletion works, and note that student education records are handled at the direction of the School). Students' access is managed by their School/teacher.
13.2 By us. We may suspend or terminate access to the Service (in whole or in part) if you materially violate these Terms, if required by law, or if your use poses a security risk to the Service or others. Where practical, we will give notice and an opportunity to cure before terminating a School's or teacher's access.
13.3 Effect. Upon termination, your right to use the Service ends. Provisions that by their nature should survive — including the Section 7.2 license as applied to backup/archival copies pending deletion, the Section 7.3 license as applied to content other teachers downloaded before termination, and Sections 11, 12, 15, 16, 17, 18, and 21 — survive termination. Data retention and deletion after termination are governed by the Privacy Policy and any controlling DPA (and, for trial student data, Section 10.3).
14. Changes to the Service
We are continuously improving the Service and may add, change, or remove features. We will not materially reduce the core functionality of the Service for a School mid-term without reasonable notice, except where required for security or legal reasons.
15. Disclaimers
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE." TO THE FULLEST EXTENT PERMITTED BY LAW, INTEGRA EDTECH DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WITHOUT LIMITING THE FOREGOING, WE DO NOT WARRANT THAT: (a) THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE; (b) AI-GENERATED CONTENT, TRANSCRIPTIONS, FEEDBACK, OR GRADES WILL BE ACCURATE OR RELIABLE; OR (c) INTEGRITY FEATURES WILL DETECT ALL ACADEMIC-INTEGRITY ISSUES OR WILL NEVER PRODUCE FALSE FLAGS. GRADES AND ACADEMIC DECISIONS ARE THE RESPONSIBILITY OF THE TEACHER AND SCHOOL. Some jurisdictions do not allow certain warranty disclaimers, so some of the above may not apply to you.
16. Limitation of Liability
TO THE FULLEST EXTENT PERMITTED BY LAW: (a) INTEGRA EDTECH WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUES, DATA, OR GOODWILL, ARISING OUT OF OR RELATED TO THE SERVICE OR THESE TERMS, EVEN IF ADVISED OF THE POSSIBILITY; AND (b) INTEGRA EDTECH'S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATED TO THE SERVICE OR THESE TERMS WILL NOT EXCEED THE GREATER OF (i) THE AMOUNTS YOU PAID US FOR THE SERVICE IN THE TWELVE (12) MONTHS BEFORE THE EVENT GIVING RISE TO LIABILITY AND (ii) ONE THOUSAND U.S. DOLLARS (US $1,000).
NOTHING IN THESE TERMS LIMITS LIABILITY THAT CANNOT BE LIMITED BY LAW (INCLUDING LIABILITY FOR GROSS NEGLIGENCE, WILLFUL MISCONDUCT, OR FRAUD), AND NOTHING IN THESE TERMS LIMITS A CONSUMER'S OR STUDENT'S NON-WAIVABLE STATUTORY RIGHTS. Some jurisdictions do not allow certain limitations, so some of the above may not apply to you.
17. Indemnification
If you are a teacher, School, or other adult or entity user (not a student), you will indemnify and hold harmless Integra EdTech and its members, managers, officers, employees, affiliates, and agents from third-party claims and related costs (including reasonable attorneys' fees) arising out of: (a) your content; (b) your violation of these Terms or applicable law; or (c) your failure to obtain authorizations, notices, or consents required under Sections 3–5. This section does not apply to students, and applies to Schools only to the extent permitted by applicable law (including state laws limiting indemnification by public entities).
18. Governing Law; Disputes
These Terms are governed by the laws of the State of Florida, without regard to conflict-of-laws rules, and, where applicable, U.S. federal law. Before filing a claim, you agree to contact us at legal@linguaclassroom.com (see Section 20) and attempt in good faith to resolve the dispute informally for at least thirty (30) days. Any dispute not resolved informally will be brought exclusively in the state or federal courts located in Hillsborough County, Florida, and the parties consent to personal jurisdiction and venue there. Each party waives any right to a jury trial to the extent permitted by law. Nothing in this section prevents a School from pursuing remedies specified in a controlling DPA, limits rights that cannot be waived, or requires a public educational entity to consent to governing law or venue that applicable law prohibits it from accepting.
19. Changes to These Terms
We may update these Terms from time to time. If we make material changes, we will provide notice — for example by email to account holders or a prominent notice in the Service — at least fifteen (15) days before the changes take effect (except changes required by law or addressing security, which may take effect sooner). Continued use of the Service after the effective date constitutes acceptance. If a School has a controlling DPA, changes to these Terms do not override that DPA. Material changes affecting the processing of student data will not be applied to a School's students without the notice/consent the applicable DPA or law requires.

21. Miscellaneous
The Service is operated from the United States and is designed for use by Schools in the United States; if you access it from elsewhere, you are responsible for compliance with local law. These Terms (together with the Privacy Policy and any controlling DPA) are the entire agreement between you and Integra EdTech regarding the Service and supersede prior agreements on that subject. If any provision is found unenforceable, the remainder stays in effect. Our failure to enforce a provision is not a waiver. You may not assign these Terms without our consent; we may assign them in connection with a merger, acquisition, or sale of assets with notice to you. We are not liable for delays or failures caused by events beyond our reasonable control. Notices to you may be provided by email to your account address or within the Service.
